1. About EstateLogix

EstateLogix is a real estate investment modelling and analysis software platform developed and operated by Gamrealty (“Gamrealty”, “EstateLogix”, “we”, “us” or “our”). EstateLogix is powered by Blockx Investments Ltd.

EstateLogix provides tools that allow users to model, analyse, compare and present real estate investment opportunities, including calculations and projections relating to property acquisition, financing, rental income, operating expenses, cash flow, yield, IRR, MOIC, appreciation, exit value and other investment metrics.

EstateLogix may also provide AI-assisted features, market assumption suggestions, development modelling, fractional investment modelling, investor reports and other analytical functionality.

By accessing or using EstateLogix, you agree to these Terms of Use.

2. Eligibility and Accounts

• You must be legally capable of entering into a binding agreement to use EstateLogix.
• Where EstateLogix is used on behalf of a company or other organization, you confirm that you have authority to accept these Terms on its behalf.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity performed through your account.
• You must provide accurate account information and promptly update it when necessary.

3. Purpose of EstateLogix

EstateLogix is a financial modelling and decision-support tool.

EstateLogix does not provide personalized financial, investment, legal, tax, accounting, valuation or regulatory advice.

The platform is designed to help users analyse information and assumptions supplied by the user, EstateLogix, third-party sources or available market data.

Results produced by EstateLogix should form part of a user's own analysis and due diligence and should not be the sole basis for an investment decision.

4. Investment Projections and Calculations

EstateLogix may calculate or display metrics including, but not limited to:

• rental income and occupancy;
• operating expenses;
• gross and net rental yield;
• cash yield;
• debt and equity requirements;
• cash flow;
• Internal Rate of Return (IRR);
• Multiple on Invested Capital (MOIC);
• property appreciation;
• projected property value;
• exit value;
• investor distributions; and
• projected investor profit.

These calculations depend on assumptions and information entered into or selected within the platform.

Projected results are not guaranteed results.

Actual investment performance may differ materially because of changes in rental demand, occupancy, property values, interest rates, financing terms, operating expenses, taxation, regulations, exchange rates, construction timelines, market conditions and other factors.

5. User Responsibility for Inputs

• Users remain responsible for reviewing the assumptions and information used in their calculations.
• EstateLogix does not guarantee that user-entered information, imported property data, third-party information or suggested assumptions are complete, current or accurate.
• Users should independently verify material information before making an investment or commercial decision.

6. AI-Assisted Features

EstateLogix may use artificial intelligence and automated systems to assist with tasks such as suggesting assumptions, interpreting information, generating explanations or improving workflow efficiency.

AI-generated or AI-assisted information may contain inaccuracies or may not reflect the circumstances of a particular property, location or investment.

AI suggestions are starting points for analysis, not authoritative financial or investment advice.

Users remain responsible for reviewing and approving assumptions before relying on calculations based upon them.

7. Assumption Assistant and Market Data

• Where EstateLogix suggests market-typical figures based on location, property type or other information, such figures should be regarded as indicative assumptions.
• Market conditions can change quickly and may vary substantially between individual properties within the same market.
• EstateLogix does not guarantee that suggested rental rates, occupancy levels, appreciation rates, expenses or other assumptions will be achieved.

8. Investor Reports

• EstateLogix may allow users to generate, download or share investor-facing reports and analyses.
• The organization or user creating a report is responsible for reviewing its contents before distributing it.
• A report generated through EstateLogix does not constitute an endorsement, recommendation or verification of the investment by EstateLogix or Gamrealty.
• Users must not remove or alter required risk disclosures or use EstateLogix reports to intentionally misrepresent an investment opportunity.

9. Fractional Investment Modelling

EstateLogix may provide functionality for modelling fractional property ownership, share classes, economic interests and proportional investment returns.

Such functionality is analytical and administrative in nature.

The existence of a fractional model within EstateLogix does not itself create legal ownership, securities, shareholder rights or an investment contract.

Actual ownership and investor rights depend on the relevant legal agreements, corporate structures, registrations and applicable laws.

Professional legal and tax advice should be obtained where appropriate.

10. Developer and Bulk Modelling

• EstateLogix may allow developers and professional users to import unit schedules and create investment models for multiple properties or units.
• Users remain responsible for verifying imported data and project-level assumptions.
• Bulk generation of investment models does not constitute independent verification of each underlying property or unit by EstateLogix.

11. Subscriptions

• Certain EstateLogix functionality requires a paid subscription.
• Available plans, features, limits and prices are displayed on the EstateLogix website or within the application.
• Subscriptions may be offered monthly, annually or under individually negotiated commercial arrangements.
• Applicable taxes may be added where required.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, currency, tax and invoicing mechanics are governed by the Paddle Buyer Terms at paddle.com/legal/checkout-buyer-terms.

12. Renewals and Cancellation

• Unless otherwise stated at purchase, paid subscriptions automatically renew according to the selected billing cycle until cancelled.
• Users may cancel their subscription in accordance with the cancellation options available through their account.
• Cancellation prevents future renewal and access continues until the end of the billing period already paid for.
• Refunds are governed by our Refund Policy, which includes a 30-day money-back guarantee, and are processed by Paddle.

13. Changes to Plans and Pricing

• EstateLogix may modify subscription plans, features, usage limits and pricing.
• Where changes materially affect an existing paid subscription, we will provide reasonable notice where required or appropriate.
• Specific contractual arrangements agreed with Enterprise or other customers may override the general subscription provisions of these Terms.

14. Acceptable Use

You may not:

• use EstateLogix for unlawful or fraudulent activities;
• attempt unauthorized access to another account or organization;
• interfere with the security or operation of the platform;
• reverse engineer or attempt to extract proprietary source code except where applicable law expressly permits it;
• systematically copy or reproduce EstateLogix's proprietary functionality;
• use automated systems to overload or abuse the service;
• intentionally upload malicious software;
• misrepresent EstateLogix calculations as guaranteed investment outcomes; or
• use the platform in a way that infringes the rights of others.

15. Intellectual Property

• EstateLogix, including its software, calculation architecture, user interface, branding, designs, documentation, reports, proprietary methodologies and related intellectual property, is owned by or licensed to Gamrealty.
• Your subscription provides a limited, non-exclusive, non-transferable right to use EstateLogix in accordance with your subscription and these Terms.
• It does not transfer ownership of EstateLogix technology or intellectual property.

16. Your Data

• You retain ownership of property, project and business information that you lawfully upload to EstateLogix.
• You grant EstateLogix the rights necessary to process, store and display that information for the purpose of providing the service.
• You are responsible for ensuring that you have the necessary rights and permissions to upload and process such information.

17. Availability and Changes

• We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.
• EstateLogix may occasionally be unavailable because of maintenance, security updates, technical problems or circumstances outside our reasonable control.
• We may modify or improve the platform over time.

18. Third-Party Services

EstateLogix may integrate with third-party services such as hosting providers, payment processors, analytics services, artificial intelligence providers, data providers or other software platforms.

Use of certain integrations may also be subject to the relevant provider's terms.

19. Limitation of Liability

• To the maximum extent permitted by applicable law, EstateLogix and Gamrealty shall not be liable for investment losses or decisions resulting from reliance on projections, assumptions, calculations or information generated through the platform.
• EstateLogix is a modelling tool and does not guarantee investment performance.
• Nothing in these Terms excludes liability that cannot legally be excluded or limited.

20. Indemnification

To the extent permitted by applicable law, users agree to indemnify Gamrealty against claims, losses or liabilities arising from unlawful use of EstateLogix, infringement of third-party rights, material misuse of investor reports, or information uploaded or distributed by the user in violation of these Terms.

21. Suspension and Termination

• We may suspend or terminate access where an account materially violates these Terms, creates a security risk, is used unlawfully, or has unresolved payment obligations.
• Where reasonably possible, we will provide notice and an opportunity to resolve the issue.

22. Governing Law

• These Terms are governed by the laws of [JURISDICTION].
• Any dispute shall be subject to the jurisdiction of the courts of [JURISDICTION], unless mandatory applicable law provides otherwise.

23. Changes to These Terms

• We may update these Terms as EstateLogix develops or where legal or regulatory requirements change.
• The latest version will be published with its effective date.
